Another lawsuit against the Bitcoin treasury firm Strategy has been dismissed, unable to substantiate claims of misleading accounting practices. This departure from litigation follows a similar case that was recently dropped, as court documents reveal.
The lawsuit, initiated in June by shareholders Abhey Parmar and Zhenqiu Chen, accused Strategy of breaching fiduciary duties, unjust enrichment, abuse of control, and gross mismanagement. Such allegations have become a notable trend this year as various firms have filed lawsuits against Strategy, alleging securities fraud due to misleading statements regarding its Bitcoin investments.
Experts indicate that it’s not uncommon for multiple law firms to file analogous complaints against a company to position themselves as lead counsel in consolidated lawsuits. This trend occurs particularly in high-stakes cases like those involving Bitcoin treasuries.
Strategy, formerly known as MicroStrategy, is recognized as the world’s largest corporate holder of Bitcoin, boasting 638,460 coins worth approximately $72.5 billion at current prices. The company has shifted its focus from data analysis software to becoming a Bitcoin treasury firm, allowing investors to acquire shares of its Nasdaq-listed stock (MSTR) as a means of gaining exposure to the cryptocurrency.
The driving force behind Strategy’s Bitcoin strategy is co-founder Michael Saylor, who became a proponent of Bitcoin in 2020, promoting it as a means of safeguarding value for shareholders. Since then, the company’s stock has demonstrated remarkable growth, escalating from $14 at the time of its initial Bitcoin purchase to $362 today—a staggering increase of 2,160%.
However, Strategy has encountered scrutiny in the past. In 2000, Saylor, along with other executives, faced charges from the SEC related to overstating the company’s revenue and earnings. They collectively paid $11 million in penalties and disgorgements, illustrating the ongoing scrutiny faced by the firm.
